What the paper says
Document roll-up
As at Fri 9 Oct 2026All eight documents read. The signed order form, MSA and DPA of 16 Apr 2026 fix Starter at £22k a year plus £6,000 implementation, 30 Apr 2026 to 29 Apr 2027. The drafts and proposals agree with it. Renewal is only by agreement.
Executed: The order form, Master Services Agreement and Data Processing Agreement were all signed on 16 Apr 2026. Tom Ashdown signed for BG-Demo and an unnamed Director signed for Ludworth Lettings.
The order form sets Starter at £22k a year plus a £6,000 one-off implementation, running 30 Apr 2026 to 29 Apr 2027. It supersedes any earlier draft or proposal and is at the v2 Starter list with no discount.
Open items: Proposal v1 of 3 Mar 2026 and the Master Services Agreement v2 of 26 Mar 2026 are drafts. The signed copies of 16 Apr 2026 supersede both, as they do the final proposal of 6 Mar 2026.
Contradictions: No conflict was found on price, service levels, dates or scope. Every document that quotes a price gives £22k a year, and the draft agreement matches the executed terms.
Labelling: The onboarding plan of 5 May 2026 and the QBR deck of 13 Sep 2026 call £22k annual recurring revenue. That is their own wording; the executed order form calls it the annual recurring fee.
The QBR deck is a quarterly review on a Starter account, and Starter includes only a six-monthly check-in. This is a difference from the standard offering, not from any contract.
Commitments:
- 99.5% availability and P1 first response within 4 business hours.
- A service credit of 5% of one month's fee, for availability only.
- Nightly refresh complete by 07:00 customer local time on business days, with no credit for stale data.
- Annual billing in advance, payable within 30 days of invoice.
- Implementation covering up to four connectors.
- Renewal only by agreement, so the subscription ends on 29 Apr 2027 unless renewed.
- Personal data processed only on the customer's documented instructions, with breach notice without undue delay.
Gaps: The signed documents do not name the customer signatory, the user allowance or a renewal notice period. The Master Services Agreement says only that Marcus Bell will give notice in good time.
The documents do not show whether Tom Ashdown is still with BG-Demo. The QBR deck gives no usage figures.
