Parties
This agreement is made between BG-Demo, a London data business ("BG-Demo"), and Ludworth Lettings of Stockport ("the Customer"), a residential lettings and block-management agency.

Service credits under this agreement are given for availability only. A period in which B-Viz is available but answering on data that has not refreshed is not an availability failure for the purposes of credits.
Customer responsibilities
- Provide timely access to the systems to be connected.
- Name a day-to-day contact and an administrator for the Starter tier.
- Tell BG-Demo promptly before making major changes to a connected system, since this can interrupt a data source.
Data and confidentiality
The Customer's data stays in the Customer's own Snowflake account. Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement. The handling of personal data is set out in the separate Data Processing Agreement signed on the same date.
Liability
Neither party limits liability for anything that cannot lawfully be limited. Otherwise, each party's liability is limited to the fees paid and payable under this agreement in the current term, and neither is liable for indirect or consequential loss.
Termination
Either party may end this agreement for the other's material breach if the breach is not put right within a reasonable period after written notice. On ending, BG-Demo will stop the service and the Customer keeps its data in its own Snowflake account.
Governing law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
