Executed: the order form signed 30 Jan 2026 states the annual subscription price of £50k, billed annually in advance with payment 30 days from invoice date, for a term from 13 Feb 2026 to 12 Feb 2027. The MSA and the DPA were signed the same day, and Matteo Ricci signed for BG-Demo.
Executed (continued): the order form also buys an eight-week implementation for up to eight connectors at £12k one-off, and EU data hosting. The £62k total contract value includes that one-off fee and is not an annual figure.
Open items: the draft MSA version two of 12 Jan 2026 is marked not for signature and was superseded by the signed MSA. The 22 Dec 2025 internal draft proposal and the 29 Dec 2025 proposal are pre-contract and carry no binding terms.
Contradictions: the 14 Dec 2025 security questionnaire treats dedicated EU data residency as a paid add-on, but the executed order form includes EU hosting within the £50k with no separate price shown. The onboarding plan of 17 Feb 2026 and the 8 Jul 2026 QBR deck label the £50k as contracted ARR, whereas the order form states it as the annual subscription price.
Commitments: availability 99.5%, P1 first response 1 business hour, and a service credit of 10% of one month's fee for availability breaches only. The signed MSA states that data freshness is not a credited measure.
Commitments (data): under the executed DPA, data stays in the customer's chosen EU region, no region move or new sub-processor without prior written agreement, and breach notice without undue delay. Remote access from the United Kingdom counts as a transfer needing a lawful mechanism and written agreement.
Gaps: all nine documents were read. No executed document sets a fixed renewal notice period or auto-renewal wording, and none names the customer signatory beyond the title Managing Director.
Gaps (delivery): connector live-by dates appear in no executed document. The onboarding plan fixes no phase dates, and the records do not show whether the phases were completed.
