After a negotiation call Tom Ashdown recapped Growth over two years at £124k. Philip Nuttall asked for the split, fixed price, 30-day payment and the master agreement with the order form. Tom agreed and kept 3 Jan 2024.

Ask: Philip wants confirmation of what £124k covers, a fixed price for two years, payment at thirty days from invoice, and the master agreement and order form together. He says Malcolm Hebden will want answers in writing.

Customer view: Procurement is constructive but methodical. Tom confirmed the standard terms and will have Owen Tallis confirm the price wording.

Next: Tom will send the breakdown and documents, and pick up the connector list with Rebecca Ainsworth in the new year. The signing target of Wednesday 3 January 2024 is conditional.

Hello all, Thanks for your time on the call today. I hope the week is treating you kindly with Christmas coming up. A quick recap so we're all working from the same page. We're talking about Growth on a two-year term, so member services, underwriting and claims can see each member's policies, claims and calls together. The deal total we discussed is £123,600. I've copied Owen, who looks after pricing questions on our side, so he can pick up anything commercial while I'm away over the break. Three things I took away: - Malcolm wants to see what the commitment looks like over the full term, not just year one. - Philip needs the commercial terms in a form procurement can review. - Rebecca would like the connector list for go-live confirmed with her team. I'd like to get the order form with you before the end of the week and, if we can, have it signed by Wednesday 3 January 2024. If that's not realistic given the holidays, no drama, just tell me and we'll reset the date. Philip, is there anything procurement needs from us that I haven't mentioned? Cheers, Tom

Tom, Thank you for the summary, which matches my notes. A few points from procurement before we can move to an order form: 1. The £123,600 figure: please confirm what it covers. Is it the whole value of the deal across the two years, and how much of it is the one-off implementation fee compared with the subscription? 2. Please confirm that the price is fixed for the full two-year term. 3. Payment terms: our standard is thirty days from invoice. Please confirm that works for you. 4. We will need the master agreement and the order form together, so legal can read them side by side. Malcolm will want the answers in writing, with the base for every figure. Kind regards, Philip Nuttall Head of Procurement, Kelbrook Mutual Insurance

Philip, thanks, that's helpful and fair. Taking your points in turn: 1. The £123,600 is the total value of the deal across the term. I'll send a written breakdown showing how it splits between the implementation and the subscription, so Malcolm can see the base for each line. I don't want to quote the split from memory and get it wrong. 2. The term is two years and the order form will state the price for it. I'll have Owen confirm that wording so there's no ambiguity. 3. Thirty days from invoice is our standard, so that's fine. 4. Yes, I'll send the master agreement and the order form together. Malcolm, I know you'll want to ask what this commits Kelbrook to, and for how long. The breakdown should answer that, and I'm happy to talk it through with you before anything goes to your board. Rebecca, I'll pick up the connector list with you separately in the new year so your team isn't chasing me over Christmas. Leave that with me. Our target is still Wednesday 3 January 2024, but only if you are comfortable with it. Cheers, Tom
