Tom Ashdown sent a Growth two-year proposal at a deal total of £124k. CFO Malcolm Hebden asked for the split, end-of-term price change and board sign-off, and said the 3 Jan 2024 date must not push Kelbrook.

Ask: Malcolm wants the implementation and subscription split by year with payment dates, what the proposal commits Kelbrook to, and any price change after two years.

Customer view: He is cautious: the board has to see a commitment of this length, and it does not like price surprises.

Next: Tom will send a line-by-line breakdown and end-of-term wording checked against the order form, and offered a short board paper. The evidence does not show the breakdown being sent in this thread.

Hello both, Thank you for your time on the call. As promised, the proposal is attached. In short, it sets out Growth for Kelbrook on a two-year term, so member services, underwriting and claims can see each member's policies, claims and calls together, built and run inside your own Snowflake account. The total value of the deal as proposed is £123,600. To be clear, that is the total for the deal and it includes the one-off implementation fee, so please don't read it as a single year's subscription. I'll confirm the split between the implementation and the subscription in writing so you have the base for every line, rather than relying on my memory of the call. On timing, we're working towards a decision around 3 Jan 2024, but I'd much rather you had all the time you need over the full term than rushed anything before Christmas. If there's anything you'd like changed or explained, send it my way and leave that with me. Best, Tom

Dear Tom, Thank you for the proposal and for the clear note. I have read it, and I have a few questions before we speak again. First, you mention a total of £123,600. Please set out the base for that figure: what part is the implementation fee, what part is the subscription, and what each would be in each year of the term. I would like to see it over the full term, please, with dates against each payment. Second, what does the proposal commit us to, and for how long? In particular, what happens at the end of the two years, and is there any change to price at that point that we should plan for? Our board plans in multi-year cycles and does not like surprises on price. Third, I should be plain that I would not sign a commitment of this length without the board having seen it. If it is useful, I can tell you which of its meetings this would need to go to, but I would not want your date of 3 Jan 2024 to push us into anything. These are members' money, not ours, so I would rather ask now. Malcolm Hebden

Hi Malcolm, hi Rebecca, Thanks for the questions, Malcolm. They're fair ones and I'd rather you asked them now. On the base for the £123,600: I'll send you a line-by-line breakdown showing the implementation fee and the subscription separately, with the payment timing against each, so you can see it across the whole term. I don't want to quote the split from memory in an email and get it slightly wrong, so I'll confirm it in writing once I've checked it against the proposal. On what it commits you to and what happens at the end of the term, including any change in price at renewal: I'll set that out in plain words alongside the breakdown, and I'll check the wording with our team so it is exactly what the order form would say. Whatever is in the order form is what counts, so I want you to have that in front of you rather than my paraphrase. On the board, understood completely. No pressure on the 3 Jan 2024 date. If the board needs a paper, I'm happy to help put together something short that answers the questions they're likely to ask, and Rebecca can tell us what member services would want in it. Let's get something in the diary once you've had the breakdown. Cheers, Tom
