Document roll-up
As at Fri 9 Oct 2026Executed Growth order form, MSA and DPA all signed 20 Feb 2026. Term runs 6 Mar 2026 to 5 Mar 2027 at £48k a year after a 5% first-term discount, plus £12k implementation. Two drafts are superseded, and the figures in the documents do not conflict.
Executed: The order form signed 20 Feb 2026 sets Growth at £48k a year after a 5% first-term discount, plus a one-off £12k implementation fee. Its term runs 6 Mar 2026 to 5 Mar 2027, and its £60k total includes the implementation fee, so it is not an annual price.
The Master Services Agreement and the Data Processing Agreement were signed the same day. No executed document names the customer signatory.
Open items: Two drafts remain on file: the proposal v1 of 9 Jan 2026 and the Master Services Agreement v2 draft of 2 Feb 2026. The signed agreement superseded both on 20 Feb 2026. The final-status proposal of 14 Jan 2026 is also only a proposal and not a contract.
Contradictions: No price, date or service level differs between the drafts, the proposals and the executed documents, and all quote £48k a year. The onboarding plan and the 21 Jul 2026 QBR call that figure annual recurring revenue, but the order form states it as a first-term fee net of discount.
Commitments: These obligations are live under the executed documents:
- Availability of 99.5% and a P1 first response of 1 hour (business hours).
- A nightly refresh complete by 07:00 customer local time on business days.
- A service credit of 10% of one month's fee, for availability only. This is above the standard Growth 5%.
- Annual billing in advance, payable 30 days from the invoice date.
- Renewal by agreement, with no notice period and no auto-renewal. The 5% discount ends with this term.
- Data stays in the customer's own Snowflake account. Any transfer outside the United Kingdom needs prior written agreement.
Gaps: All nine documents were read. The order form puts the connector live-by dates in a project plan. The onboarding plan targets all agreed connectors by the end of week five, but the plan is not a contract.
The security questionnaire of 2 Jan 2026 leaves certifications, penetration tests and incident response unanswered. The QBR names Sophie Ling as account owner. These documents do not show whether she is still employed, so her status should be checked against HR.
