Executed: The signed Starter order form sets £20k a year plus a £6,000 implementation, for a term of 20 Oct 2025 to 19 Oct 2026. The signed Master Services Agreement and Data Processing Agreement sit alongside it.
Open items: The 5 Oct 2026 order form sets Starter at £22k a year with 0% discount, for 20 Oct 2026 to 19 Oct 2027. It is stored as executed, but its signature lines are blank and dated 20 Oct 2026, which is after the as-of date.
Until a countersigned copy is found, treat it as an unsigned renewal. Its invoice date is upon execution. The draft Master Services Agreement of 4 Sep 2025 and the proposals of 30 Jul 2025 and 4 Aug 2025 are superseded.
Contradictions:
- Signing date: the Data Processing Agreement reads as signed 6 Oct 2025, but the Master Services Agreement and the 2025 order form read as signed 20 Oct 2025.
- Notice: the Master Services Agreement allows either party to end it on 90 days' written notice, but the 2025 order form states no notice period.
- Renewal price: the 4 Aug 2025 proposal states £20k from year two onwards, but the 5 Oct 2026 order form states £22k.
- Scope: the 22 Oct 2025 onboarding plan says all 15 users can build dashboards. Dashboards are a Growth feature, and the order form is for Starter.
- Status: the 5 Oct 2026 order form is stored as executed, but its content shows it unsigned.
Commitments: The 2025 order form commits to 99.5% availability, a P1 first response of 4 business hours and a nightly refresh by 07:00 customer local time on business days. It also sets a 5% of monthly fee credit for availability breaches only, and payment within 30 days of invoice.
The Data Processing Agreement needs prior written consent for any transfer outside the United Kingdom. That would apply to any EU or US residency request.
Gaps: All eight documents were read. Nothing shows a countersigned renewal, the name of the customer's Chief Financial Officer as signatory, or who at BG-Demo leads the renewal.
