Executed: The signed order form of 27 Mar 2026 sets the Enterprise tier from 1 Apr 2026 to 31 Mar 2027. It sets £120k annual recurring charges and a one-off £30k implementation fee.
The signed MSA and DPA of 27 Mar 2026 sit alongside it. The MSA states it supersedes every earlier draft, and the order form applies where it differs from any proposal or draft.
Open items: The draft proposal v1 of 25 Feb 2026 and the proposal of 2 Mar 2026 bind no one. The draft MSA v2 of 13 Mar 2026 was superseded when the executed MSA was signed on 27 Mar 2026.
Contradictions: Both proposals state annual in advance billing, but the executed order form bills quarterly in advance, payable 30 days from invoice. The draft MSA v2 left connector dates to be agreed with engineering, while the executed MSA commits implementation of up to 12 connectors over twelve weeks.
Commitments: The executed documents carry these live obligations.

- Service credits of 10% of one month's fee for each month with a breach, on availability and data freshness.
- Nightly refresh by 07:00 customer local time on business days.
- Quarterly billing, payable 30 days from invoice.
- DPA: breach notice without undue delay, and no transfer outside the United Kingdom without a lawful mechanism and written agreement.
The 10% discount on the subscription line applies to the first term only. The executed MSA and order form flag that the recurring charge will rise at renewal unless renegotiated.
Gaps: All nine documents were read. No executed document names the customer signatory, states a renewal notice period or auto-renewal, or fixes connector go-live dates.
The security questionnaire of 25 Feb 2026 left retention settings and commissioner wording open, and the records do not show these were closed. The QBR deck of 28 Sep 2026 restates £120k and a 31 Mar 2027 end, matching the order form.
