Document roll-up
As at Fri 9 Oct 2026Brindlecote is on an executed Starter order form signed 18 May 2026 at £20k for 1 Jun 2026 to 31 May 2027, under the MSA and DPA signed 19 May 2023. Both drafts are superseded. Two minor wording conflicts remain, on billing basis and refresh time zone.
Executed: the order form signed 18 May 2026 renews B-Viz Starter at £20k for 1 Jun 2026 to 31 May 2027, with 15 licensed users and 4 data connectors. It sits under the master services agreement and data processing agreement, both signed 19 May 2023.
History: earlier signed order forms of 19 May 2023, 28 May 2024 and 16 May 2025 each priced Starter at £20k for a one-year term. All three terms have ended.
Price: the 18 May 2026 order form equals the v1 Starter list and shows no uplift or discount. Under the price book, the renewal after 31 May 2027 is due to move to the v2 Starter list, +12.8%.
Open items: two documents are stored as draft, the Proposal v1 of 17 Apr 2023 and the Master Services Agreement v2 of 4 May 2023. Both were superseded on 19 May 2023, and the draft MSA's terms match the signed MSA.
Contradictions: both proposals, of 17 Apr 2023 and 20 Apr 2023, bill the subscription on a calendar year, while the executed order forms run from 1 Jun 2023 to 31 May 2024 and on the same cycle after. The executed paper governs.
The 19 May 2023 order form sets the nightly refresh by 07:00 UK local time, while the signed MSA and the later order forms say customer local time. The current order form uses customer local time.
Commitments:
- Availability 99.5%, with service credits of 5% of one month's fees.
- P1 first response within 4 business hours.
- Nightly refresh by 07:00 customer local time on business days.
- Net 30 days from invoice, annual subscription invoiced in advance.
- Termination for convenience at contract end with 90 days' notice, under the signed MSA.
- Under the DPA, BG-Demo helps with data subject rights requests, notifies new sub-processors and gives an indemnity in clause 6 with no stated cap.
Gaps: all 10 documents were read. No document names the customer signatory, the connectors or their go-live dates, or shows whether the 2023 onboarding plan reached go-live.
