What this says
As at Fri 9 Oct 2026Nigel Fairbrother questioned the £52k base, expected usage and renewal terms before signing the Growth order form. Lewis Kerr answered on 21 May 2025. The thread does not show a signature.
Ask: Nigel wants the split between subscription and one-off, the figure at renewal, expected weekly users, and usage reporting before renewal, not at it. He said he would not decide on 20 May 2025.
Customer view: He says a tool nobody opens is a cost he will not carry past the first term. Lewis said £52k is the total deal value, not an annual price, and pointed to the renewal clause rather than quoting it.
Next: Lewis committed Daniel Okafor to review questions asked and active users in the quarterly reviews, well ahead of renewal.

- Lewis Kerr 20 May 2025 09:26Nigel, Thank you for your time last week. As discussed, I have attached the order form for the Growth subscription at Marlcliff, ready for your signature. To put a number on it, the total value of the deal is £51,600, plus VAT. The order form sets out the tier, the connectors we have agreed to bring live (rostering, control room and finance) and the payment terms. I have not added anything we did not cover on the calls. Our aim is to have this signed by Thursday 22 May 2025 so that we can book the implementation start with your team. If you would like your solicitor or anyone in your finance team to read it first, tell me and I will make sure they have everything they need today. I'll send that over today if you want a clean copy in a different format. Kind regards, Lewis
- Nigel Fairbrother 20 May 2025 10:24Lewis, Received. A few things before I sign. The £51,600: what is the base? I need to know what part of that is the subscription and what part is one-off, and what happens to the figure at renewal. I do not accept a percentage without the base. Second, who is actually using it? You have talked about account managers, the control room and credit control. I want to know how many people you expect to be in it week to week, and what that works out at per contract once we are live. Our margins are thin enough that a tool nobody opens is a cost I will not carry past the first term. Third, I would want to see usage before the renewal, not at it. Is that something you report on, or do we have to ask? I will not decide today. Tomorrow at the earliest. Nigel Fairbrother
- Lewis Kerr 21 May 2025 13:17Nigel, Thank you, all fair questions. Taking them in order. On the figure: £51,600 is the total value of the deal, so it is not an annual price. The order form separates the one-off implementation from the annual subscription, and I have marked those two lines so you can see the split without needing me. I will not quote the renewal position from memory, so please read the renewal clause on the last page; it is written out in full and I am happy to walk through it with you. On usage: Growth is built for several teams, and the three groups you mention are the ones we scoped. I would rather not give you a headcount I cannot stand behind. What I can promise is that Daniel Okafor, your customer success manager, will review actual use with you as part of the quarterly reviews that come with Growth, and you will see questions asked and active users well ahead of any renewal conversation. That is the show-me-before-the-renewal point. On the per-contract view: that depends on how Marlcliff counts a contract, which is a better conversation with your team than a guess from me. We are still aiming for Thursday 22 May 2025. If anything in the order form needs changing, send me the line and I will turn it round the same day, co-termed to your renewal date. Kind regards, Lewis
