Parties

Billing and payment

Service credits
If availability falls below the commitment in a month, the Customer is entitled to a service credit of 10% of one month's subscription fee. Credits under this agreement are based on availability only. A period in which B-Viz was available but answered from data that was not refreshed does not give rise to a credit.
Data and processing
Personal data handled in the course of the services is governed by the separate Data Processing Agreement signed by the parties on the same day. If there is a conflict on data protection, that agreement prevails.
General terms
- Order of precedence. This executed agreement decides the contracted price and terms. It supersedes any earlier proposal, draft or quotation.
- Changes. Any change must be in writing and signed by both parties.
- Confidentiality. Each party will keep the other's confidential information secure and use it only for the purposes of this agreement.
- Governing arrangements. The parties will resolve disputes first through their account contacts, then through senior management, before any other step.
