Parties
This Master Services Agreement is made on 22 Apr 2024 between:
- BG-Demo, a company based in London, which provides the B-Viz service ("BG-Demo"); and
- Eccup Software, based in Leeds ("the Customer").
BG-Demo's account owner for this agreement is Tom Ashdown. The Customer success manager is Marcus Bell.
Background
The Customer wishes to use B-Viz, built and run inside the Customer's own Snowflake account, so that its customer success team can read tickets, renewals and usage for each of the providers it serves. This agreement sets out the commercial terms on which BG-Demo will implement and provide the service.

A service credit is due for a month in which the availability commitment is missed. Slow or stale data, where the service was nonetheless available, does not give rise to a credit under this agreement.
Fees and payment
BG-Demo will invoice the annual subscription fee in advance on the start date and the implementation fee on the terms agreed between the parties. The Customer will pay each undisputed invoice within 30 days. Any dispute should be raised promptly in writing so that the undisputed part can still be paid on time.
Responsibilities
BG-Demo will implement the connectors listed in the order, operate B-Viz inside the Customer's Snowflake account, and provide support in line with the service levels above.
The Customer will give timely access to the systems being connected, name a person to act as its main contact, and keep its own users within the Growth allowance.
Data protection
The parties' obligations on personal data are set out in the separate Data Processing Agreement signed on the same day, which forms part of this agreement.
General
This agreement, with the Data Processing Agreement, is the whole agreement between the parties on its subject. It is governed by the law of England and Wales. Any change must be in writing and signed by both parties.
