Status: Executed Version: 1 Signed: 23 March 2026
Parties
This agreement is made between BG-Demo, a London data business, and Quabbin Clinical Research, a contract research organisation based in Boston (the Customer).
BG-Demo account owner: Jordan Pike. Customer success manager: Hollie Grieve.
Background and scope
The Customer has chosen the Enterprise tier of B-Viz so that its sponsor-relationship, study-management and finance teams can see each sponsor's studies, issues, calls and invoices together. Service levels
| Measure | Commitment |
|---|---|
| Availability | 99.9% |
| P1 first response | Half an hour |
| Nightly refresh | Complete by 07:00 Customer local time on business days |
| Service credit | 10% of one month's fee for each month with a breach |
Service credits apply to both availability and data freshness. A month in which B-Viz is available but answering on stale data counts as a freshness breach, and is credited on the same basis.
Implementation
BG-Demo will deliver the Enterprise implementation over twelve weeks from the start date, including support for the Customer's security review. Connectors named in the implementation plan are to be brought live within the timescales agreed in that plan.
Data and confidentiality
The parties' obligations on personal data are set out in the separate Data Processing Agreement signed on the same day. Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement.
General
This document, together with the Data Processing Agreement, is the whole agreement on its subject matter. It prevails over any earlier draft, proposal or quotation. Changes must be in writing and signed by both parties.
