This agreement governs the supply of the B-Viz subscription and the related implementation to the Customer, on the order lines and terms set out below. It is signed under BG-Demo's standard master terms and the order lines below form part of it.
Background
The Customer builds and runs data warehouses for its own clients and will use B-Viz on the Starter tier for its own client base. B-Viz is built and run inside the Customer's own Snowflake account, so the Customer's data stays in its own environment.

The subscription runs from the start date to the end date. Any renewal is agreed in writing and is handled by the account owner and the customer success manager ahead of the end date. Nothing in this agreement renews the subscription automatically.

No discount applies to either line. The total contract value is the subscription for the term plus the one-off implementation fee. Only the subscription of £20k is annual; the implementation fee is charged once.
Subscription scope
The Starter subscription covers one team of the Customer, with pages, chat and search over the connected sources. The user allowance and the connector allowance are those of the Starter tier. The connector allowance is a hard limit, and the user allowance is a soft limit that the parties will review together at the check-ins. Additional users or connectors can be added by a further order form.
A six-monthly check-in with the customer success manager is included.
Implementation
BG-Demo will carry out the Starter implementation over 4 weeks, connecting up to 4 of the Customer's sources into B-Viz inside the Customer's Snowflake account. The Customer will give BG-Demo the access and the named technical contact it reasonably needs. Delays caused by missing access or late decisions on the Customer's side move the timetable by the same amount.

Service credits
- If availability falls below the commitment in a month, the Customer is entitled to a service credit of 5% of one month's fee for that month.
- Credits are given for availability only. A period in which B-Viz was available but answering on data that had not refreshed is not an availability breach under this agreement.
- A credit is a one-off adjustment to an invoice. It does not change the annual recurring fee.
Fees and payment
- BG-Demo invoices the annual subscription in advance and the implementation fee on the terms agreed with the Customer's finance team.
- Invoices are payable within 30 days.
- All amounts are in pounds sterling and are exclusive of VAT.
- Fees for any later term are agreed in writing before that term starts.
Data and confidentiality
- The Customer's data remains the Customer's. B-Viz runs inside the Customer's Snowflake account, and BG-Demo accesses it only to deliver, support and secure the service.
- Each party keeps the other's confidential information confidential and uses it only for this agreement.
- Where the Customer uses B-Viz over information relating to its own clients, the Customer is responsible for having the right to do so.
Liability
Neither party excludes liability that cannot be excluded by law. Subject to that, each party's total liability under this agreement is limited to the fees paid and payable for the term, and neither party is liable for indirect or consequential loss.
Governing law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
Order of precedence
If the order lines and service levels in this document differ from any earlier proposal, quotation or draft, this executed agreement prevails.
