Executed MSA signed 14 Feb 2025 for the Enterprise tier, term 28 Feb 2025 to 27 Feb 2026. Availability 99.9%, P1 first response half an hour, annual recurring charges £114k, total contract value £144k.

What it is: an executed Master Services Agreement for B-Viz on the Enterprise tier, with ten additional users and a twelve-week implementation. It states "No discount applies to any line."

Commits: availability 99.9%, P1 first response half an hour, nightly refresh complete by 07:00 on business days. Credits are 10% of one month's fee for availability and data freshness, and recurring charges are invoiced quarterly on 30-day terms.

Unusual: the signature block names Lewis Kerr for BG-Demo but gives no personal name for the customer, only "Authorised signatory of the Customer". Renewal is not automatic.

Not settled: the term ended on 27 Feb 2026, and the document does not show whether it was renewed or at what price. It says renewal pricing "will be confirmed in writing before it starts". Check accounting and any later order form before treating these charges as current.

Strensall Merchants - Master Services Agreement (signed)

Status: Executed

Effective date: 28 Feb 2025

Signed: 14 Feb 2025

Parties

This Master Services Agreement is made between:

  • BG-Demo, a London data business, which supplies B-Viz ("the Supplier"); and
  • Strensall Merchants, a builders' merchants group based in York, serving trade customers across the North of England and the Midlands ("the Customer").

On the Supplier's side the account is owned by Lewis Kerr, Account Executive, and the customer success manager is Daniel Okafor.

Background

The Customer wishes its branch, trade-credit and key-account teams to see each trade account's orders, deliveries, calls and credit together in one place. The Supplier will provide B-Viz, an AI-queryable layer over the Customer's business systems, built and run inside the Customer's own Snowflake account, on the Enterprise tier.

Annual recurring charges: £114k (the Enterprise subscription plus the additional users).

Total contract value: £144k (annual recurring charges plus the one-off implementation fee).

No discount applies to any line.

Term

  • The initial term starts on 28 Feb 2025 and ends on 27 Feb 2026.
  • Renewal is dealt with under the renewal clause below. The Supplier's customer success manager will contact the Customer ahead of the end of the term to discuss it.

Services

Subscription

The Supplier will provide B-Viz on the Enterprise tier for the term. The Enterprise tier covers company-wide use and includes single sign-on and SCIM provisioning, an executive sponsor, and the pages, chat and search features. The additional users line increases the Customer's user allowance by ten users above the Enterprise user allowance.

Implementation

The Supplier will carry out the Enterprise implementation over twelve weeks for a fixed fee. It includes support for the Customer's security review and the connection of up to twelve connectors to the Customer's systems. Systems that may be connected are those supported by B-Viz, such as Salesforce, Zendesk, Xero, Microsoft 365 and Snowflake, as agreed between the parties during the implementation.

The implementation fee is fixed. Work outside the scope above requires a written change agreed by both parties.

Service levels

Availability99.9%
P1 first responseHalf an hour
Nightly refreshComplete by 07:00 Customer local time on business days
Service credit10% of one month's fee, for each month in which a breach occurs
Credit basisAvailability and data freshness

Service credits under this Agreement are available for failures of availability and also for failures of data freshness. A credit is a one-off adjustment to an invoice and does not change the recurring charges.

The Customer should report a suspected breach to the Supplier's support team, and the Supplier will confirm the measured position from its own records.

Fees and billing

  • All recurring charges are invoiced quarterly.
  • The one-off implementation fee is invoiced separately as a fixed fee.
  • Payment terms are 30 days from the date of invoice.
  • All amounts are in pounds sterling. Amounts are stated net of VAT, which is added at the applicable rate.
  • If the Customer disputes part of an invoice in good faith, it will pay the undisputed part on time and tell the Supplier promptly about the rest.

Customer responsibilities

  1. Give the Supplier timely access to the systems to be connected and to the people who can approve that access.
  2. Nominate a lead contact for the implementation and a named administrator for B-Viz.
  3. Tell the Supplier before making major changes to a connected system, because such changes can stop a connector loading.
  4. Keep its use within the user allowance and connector allowance set out in this Agreement, or agree an add-on.

Data and security

B-Viz is built and run inside the Customer's own Snowflake account. The Customer remains in control of its data. The Supplier will process the Customer's data only to provide the services, and will support the Customer's security review as part of the implementation. Each party will keep the other's confidential information confidential during the term and afterwards.

Changes to users and connectors

The Customer may add users or connectors during the term by written order, priced at the Supplier's then-current add-on prices and, where the Customer asks, aligned to the end of the current term.

Renewal

The subscription does not renew automatically without discussion. The Supplier's customer success manager will raise renewal with the Customer in good time before the end of the term. Pricing for any renewal term will be confirmed in writing before it starts. First-term discounts do not carry into a renewal; as no discount applies here, this has no effect on the present charges.

Order of precedence

If the order summary above and any other document conflict on price or commercial terms, this executed Agreement prevails. Any earlier draft or proposal is superseded from the signing date.

General

  • This Agreement is the whole agreement between the parties on its subject matter.
  • Any change must be in writing and signed by both parties.
  • Neither party may transfer this Agreement without the other's written consent, not to be unreasonably withheld.

Data as of Fri 9 Oct 2026. Text marked AI was written by the AI from the records listed in its made-from link; an AI output that cannot cite its evidence is refused and the previous text kept. Where two systems disagree (for example a contract and the CRM), the key facts show both values and mark the difference.
